Non-Disclosure Agreement
This Non-Disclosure Agreement ("Agreement") is entered into between In-Motion Media Pty Ltd, Level 12, Corporate Centre One, Bundall QLD 4217, Australia ("Disclosing Party") and the individual identified below ("Receiving Party").
1. Confidential Information. "Confidential Information" means all information disclosed by the Disclosing Party relating to its projects, including but not limited to finances, business plans, production budgets, investor materials, financial models, scripts, story treatments, cast and crew attachments, distribution strategies, waterfall models, and any other proprietary or commercially sensitive information.
2. Obligations. The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use the Confidential Information solely to evaluate a potential investment or business relationship; (d) take reasonable steps to protect confidentiality; and (e) promptly notify the Disclosing Party upon becoming aware of any unauthorised disclosure.
3. Permitted Disclosures. The Receiving Party may disclose Confidential Information only to its professional advisors (lawyers, accountants) on a need-to-know basis, provided those advisors are bound by obligations of confidentiality no less protective than this Agreement.
4. Exclusions. Obligations under this Agreement do not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was rightfully known before disclosure; (c) is independently developed without use of Confidential Information; or (d) must be disclosed by law or court order, provided the Disclosing Party is given reasonable prior notice.
5. Return of Information. Upon request, the Receiving Party will promptly return or destroy all Confidential Information and certify in writing that it has done so.
6. Term. This Agreement commences on the date of signing and remains in effect for three (3) years, unless extended by written agreement.
7. Governing Law. This Agreement is governed by the laws of Queensland, Australia. Any disputes will be resolved in the courts of Queensland.
8. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding confidential information and supersedes all prior communications.
